Terms of Service

These Terms of Service ("Terms") govern your access to and use of Sylvie's website, platform and related services (the "Service"), provided by Sylvie ("Sylvie", "we", "us" or "our"). By accessing or using the Service, or by clicking to accept these Terms, you agree to be bound by them. If you use the Service on behalf of an organization, you represent that you are authorized to bind it.

1. The Service

Sylvie provides a second brain for marketing teams: a permission-aware memory for every brand or project, and AI agents that run operational marketing work on top of it. We may update, improve or change the Service over time. We may add, modify or remove features, provided we do not materially reduce the core functionality of a paid plan during your subscription term.

2. Accounts and eligibility

You must provide accurate information, keep your credentials secure, and are responsible for all activity under your account. You must be at least 18 years old and able to form a binding contract. You are responsible for your users and for ensuring they comply with these Terms.

3. Subscriptions, billing and refunds

Paid plans are billed as described on our pricing page. The first month covers implementation; the second month is provided at no charge; and recurring subscription fees apply from the third month onward. Plans and add-ons renew for successive periods unless cancelled before the renewal date. Fees are stated in US dollars and are exclusive of taxes unless noted. Except where required by law, fees already paid are non-refundable. You can cancel at any time, effective at the end of your current billing period.

4. Acceptable use

You agree not to: use the Service unlawfully or to infringe others' rights; upload content you have no right to use; attempt to access other customers' data or brains; probe, disrupt or circumvent the security of the Service; reverse engineer or resell the Service except as permitted by law; or use the Service to build a competing product. We may suspend access for serious or repeated violations.

5. Your content and data

You retain all rights to the content and data you connect to or create in the Service ("Customer Data"), including your brains. You grant Sylvie a limited licence to host, process and display Customer Data solely to provide and support the Service. Customer Data is never used to train foundation models, and each brain is kept isolated from others. Our handling of personal data is described in our Privacy Policy.

6. Intellectual property

The Service, including the software, models orchestration, design and all related intellectual property, is and remains the property of Sylvie and its licensors. These Terms do not grant you any rights in the Service except the limited right to use it in accordance with them.

7. Third-party integrations

The Service can connect to third-party tools you choose. Your use of those tools is governed by their own terms, and Sylvie is not responsible for third-party services. You are responsible for having the rights and permissions needed to connect them.

8. AI-generated output

Sylvie's agents generate drafts, summaries and suggestions from your context. AI output can be incomplete or incorrect, so you are responsible for reviewing and approving it before you rely on or publish it. Sylvie does not warrant that AI output is accurate, fit for a particular purpose, or free of errors.

9. Confidentiality

Each party may access the other's confidential information in connection with the Service. Each party agrees to protect the other's confidential information and to use it only as needed to perform under these Terms.

10. Warranties and disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, Sylvie disclaims all warranties, whether express, implied or statutory, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

11. Limitation of liability

To the fullest extent permitted by law, Sylvie will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues or data. Our total liability arising out of or relating to the Service will not exceed the amount you paid to Sylvie in the twelve months before the event giving rise to the claim.

12. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate access if you materially breach these Terms or use the Service in a way that risks harm to Sylvie or others. On termination, your right to use the Service ends, and we will make Customer Data available for export for a reasonable period before deletion, except where retention is legally required.

13. Governing law

These Terms are governed by the laws of Chile, without regard to conflict-of-laws rules, and the courts located there will have jurisdiction, unless a mandatory law in your place of residence provides otherwise.

14. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
